Our client, a flourishing insurance group, is seeking an Associate Counsel on a long term contract basis. In this role, the selected candidate will assist the General Counsel and Deputy General Counsel in providing legal counsel to all areas of the company. Must be licensed in the State of Virginia or New York or admission to the Virginia State Bar as Corporate Counsel.
Position will be largely remote but will require some travel to Virginia on an ad hoc basis in the foreseeable future.
This is a generalist role and NOT for a straight litigator. Substantive position and requires at least 5 years of commercial transactional experience working in a big firm and/or in-house. Experience in insurance regulatory matters is preferred.
Perform legal research for the review and analysis of state and federal government statutory and regulatory requirements as requested by General Counsel or Deputy General Counsel.
Assist in legal research and preparation of legal memorandum as requested by General Counsel or Deputy General Counsel. Work with assigned member of legal staff to communicate business requirements to the appropriate user areas.
Review contracts as requested by the General Counsel or Deputy General Counsel; work directly with the business unit and vendor to finalize the contract terms.
--Ensure that contracts meet all cybersecurity, data security and privacy requirements and work with Assistant Corporate Secretary to maintain information necessary to show compliance with applicable federal and state laws and regulations regarding vendor contracts implicating data security.
Provide backup for and legal assistance to the legal staff.
--Legal Assistance to Operations
--Supervision of Legal Services staff
--Provide assistance as requested by the Deputy General Counsel on Contestable Claims matters.
Assist with Corporate Governance matters
--Assist Assistant Corporate Secretary with Corporate filings
--Assist in the preparation of materials for Board and Committee Meetings
--Prepare Resolutions as requested by General Counsel
Handle litigation matters, including engaging directly with outside counsel, under supervision of Deputy General Counsel.
Handle other special projects and duties as requested by the General Counsel or Deputy General Counsel.
-Admitted and in good standing to the Virginia Bar and/or New York Bar or admission to the Virginia State Bar as Corporate Counsel.
-5 plus years of substantive commercial transactional experience. Experience in insurance regulatory matters is preferred.
-Excellent verbal and written skills
Pay rate will range from $50 - $80 per hour and will depend on level of experience.
